    These Terms and Conditions ("Terms") govern access to and use of Neuratrial, including the websites at https://neuratrial.com, https://www.neuratrial.com, https://neura-trial.com and https://www.neura-trial.com and any related application, documentation, support, or services that link to these Terms (the "Services").

    We are Neuratrial-AI Pte. Ltd., a company incorporated in Singapore with Unique Entity Number (UEN) 202524483C. We operate under the business name Neuratrial. By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organisation, you represent that you are authorised to bind that organisation.

    1. ENTERPRISE SERVICE

    Neuratrial is an enterprise software platform for biomedical and clinical research professionals. The Services support research, document review, document generation, evidence retrieval, data analysis, and related professional workflows. The Services are not consumer retail services, a marketplace, a public message board, or a public review platform.

    Your access may be governed by an Order Form, SaaS agreement, statement of work, data processing addendum, business associate agreement, or another written customer agreement. If a signed customer agreement conflicts with these Terms, the signed customer agreement controls for the affected customer and users.

    2. ACCOUNTS AND SECURITY

    Users must provide accurate account information and keep credentials confidential. Each account is assigned to an individual user and must not be shared. Users are responsible for maintaining access to authentication devices, completing multi-factor authentication when required, and promptly notifying us of suspected unauthorised access.

    We may suspend or restrict access where reasonably necessary to protect the Services, investigate abuse, comply with law, enforce these Terms, or preserve the confidentiality, integrity, and availability of the platform.

    3. CUSTOMER DATA AND AI PROCESSING

    "Customer Data" means data, documents, prompts, instructions, files, outputs, and other content submitted to or generated through the Services by or for a customer or user.

    Customers retain all rights in data, documents, prompts and other content submitted to the Services. Customers grant Neuratrial a limited, non-exclusive licence to process such content solely to provide, secure, maintain and support the Services. Neuratrial will not use Customer Data to train general-purpose AI models without the Customer's prior written agreement.

    The Services may store and process Customer Data as uploaded files, extracted text, redacted text, generated documents, chat and workflow records, embeddings, vector-index records, source/citation metadata, usage metadata, audit records, and support records as needed for the relevant feature.

    The Services may use artificial intelligence, embeddings, retrieval, code-interpreter-style analysis, and configured model endpoints to process inputs and generate outputs. Outputs may contain errors, omissions, hallucinations, outdated information, or unsuitable recommendations. Users must independently verify all outputs against authoritative sources before using them in any clinical, medical, scientific, legal, regulatory, or business-critical context.

    4. PROTECTED HEALTH INFORMATION

    Users must not upload Protected Health Information unless Neuratrial has expressly approved the applicable service configuration in writing and, where required, a Business Associate Agreement is in effect. A Data Processing Agreement does not by itself authorise the processing of PHI.

    Some workflows include best-effort PHI/PII redaction, visual privacy scanning, redacted review text, role-based access controls, and audit trails. Those safeguards reduce risk but do not make PHI upload authorised unless the written approval and required contract terms described above are in place.

    Users are responsible for ensuring that they have the necessary rights, authorisations, consents, approvals, and legal bases to submit Customer Data to the Services.

    5. ACCEPTABLE USE

    Users must not use the Services to violate law, infringe rights, compromise security, bypass access controls, reverse engineer non-public components, introduce malware, perform unauthorised scraping or load testing, interfere with other users, or attempt to access data belonging to another user or customer.

    Users must not submit illegal content, content they do not have the right to process, or data that the applicable customer agreement prohibits from being uploaded.

    6. FEES AND PAYMENT

    Fees, billing periods, renewal terms, taxes, usage limits, and payment arrangements will be stated in the applicable access plan, subscription plan, Order Form, customer agreement, or invoice.

    Except where a written customer agreement states otherwise, fees are non-refundable to the extent permitted by law. Customers are responsible for applicable taxes other than taxes based on our net income. If Neuratrial-AI Pte. Ltd. becomes GST-registered, GST information will be stated where legally required.

    7. INTELLECTUAL PROPERTY

    The Services, software, documentation, designs, models, workflows, user interfaces, trademarks, and related materials are owned by Neuratrial-AI Pte. Ltd. or its licensors. Except for the limited rights expressly granted to use the Services, no rights are transferred to users or customers.

    Feedback may be used to improve the Services without obligation, provided we do not disclose Customer Data in violation of a customer agreement or applicable law.

    8. THIRD-PARTY SERVICES

    The Services may integrate with infrastructure, storage, database, deployment, AI, authentication, security, analytics, email delivery, web-search, research-evidence, and billing-administration providers. Current provider categories are described in the Privacy Policy and Cookie Policy. Depending on the feature and customer configuration, Customer Data may be processed by selected providers used to provide that feature.

    Third-party services are subject to their own terms and policies. We are not responsible for third-party websites or services that are not controlled by us.

    9. CONFIDENTIALITY

    Each party may receive confidential information from the other. Confidential information must be protected using reasonable care and used only for the purpose for which it was disclosed. These obligations do not apply to information that is public through no fault of the recipient, already known without restriction, independently developed, or lawfully received from another source.

    11. SERVICE AVAILABILITY AND CHANGES

    We may update, suspend, discontinue, or modify parts of the Services. We aim to provide reliable services but do not guarantee uninterrupted or error-free availability. Planned and emergency maintenance, internet disruptions, provider outages, security events, or other operational issues may affect access.

    12. DISCLAIMERS

    The Services are provided on an "as is" and "as available" basis to the maximum extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.

    Neuratrial is not a healthcare provider. The Product is not intended to diagnose, treat or prevent disease, provide patient-specific medical advice, or replace qualified medical, scientific, legal or regulatory judgment.

    13. LIMITATION OF LIABILITY

    To the maximum extent permitted by law, Neuratrial and its directors, officers, employees, contractors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages.

    Neuratrial's aggregate liability arising out of or relating to the Services will not exceed the fees paid or payable by the Customer during the twelve months preceding the event giving rise to the claim, except to the extent liability cannot lawfully be limited.

    14. INDEMNITY

    You will defend and indemnify Neuratrial against third-party claims arising from your unlawful use of the Services, breach of these Terms, infringement of third-party rights, unauthorised submission of Customer Data, or violation of applicable law.

    15. TERM AND TERMINATION

    These Terms apply while you use the Services. We may terminate or suspend access as permitted by these Terms or the applicable customer agreement. Upon termination, rights to use the Services end, but provisions that by their nature should survive will continue, including confidentiality, intellectual property, disclaimers, liability limits, indemnity, dispute resolution, and payment obligations.

    16. GOVERNING LAW AND DISPUTES

    These Terms are governed by Singapore law. The parties will first attempt to resolve disputes through good-faith negotiations for 30 days. If the dispute is not resolved, the courts of Singapore will have exclusive jurisdiction.

    17. ORDER FORMS AND CUSTOMER AGREEMENTS

    Enterprise customers should use a signed SaaS Agreement or Order Form for commercial terms. A Data Processing Agreement may be used where personal data processing requires it. A Business Associate Agreement is required only where Neuratrial intentionally accepts US-regulated PHI and HIPAA requires an appropriate business-associate contract for that processing.
